                                                                Terms and Conditions for Logistics Services.


1. Introduction
These Terms and Conditions ("Agreement") govern the use of logistics services provided by [US-Logistics Corp], a New Jersey -based logistics company ("Service Provider," "We," "Our, “Or “Us"). By accepting these terms or utilizing our services, you ("Customer," "You," or "Your") agree to comply with and be bound by the provisions of this Agreement.


2. Acceptance of Terms
By engaging our services, whether by signing a contract, confirming an order, or otherwise utilizing our services, you acknowledge and accept these Terms and Conditions. If you do not agree with these terms, you are not authorized to use our services.


3. Services Provided
The services provided by the Service Provider include, but are not limited to:
• Freight and cargo transportation
• Warehousing and storage
• Inventory management
• Supply chain management
• Packaging and distribution LTL Services
A detailed description of specific services will be outlined in individual agreements, contracts, or order confirmations.
 

4. Service Fees and Payment
• The Service Provider will charge fees for services rendered as agreed upon in writing or as outlined in the order confirmation.
• Payments must be made in accordance with the agreed-upon terms, which may include payment due dates, payment methods, and late payment penalties.
• Invoices not paid by the due date are subject to a late fee as detailed in the service contract.

5. Customer Responsibilities
As a customer, you agree to:
• Provide accurate and complete information for shipments, including delivery addresses, contact details, and any special instructions.
• Ensure that all goods being transported comply with applicable laws, regulations, and standards for shipping, handling, and storage.
• Ensure that goods are properly packaged, labeled, and ready for shipment.
• Cooperate with the Service Provider in resolving any issues that arise during the transportation or delivery process.

6. Liability
• The Service Provider will make reasonable efforts to ensure the safe and timely delivery of goods.
• The Service Provider is not liable for delays caused by circumstances beyond its control, including but not limited to weather conditions, strikes, accidents, or government actions.
• The Service Provider’s liability for any loss, damage, or theft of goods is limited to the value of the goods, or as specified in the service agreement, whichever is lower.
• Customers must report any claims for damaged or lost goods within [insert timeframe, e.g., 7 days] from the delivery date.

7. Indemnification
The customer agrees to indemnify, defend, and hold harmless the Service Provider, its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from:
• Any violation of applicable laws or regulations by the customer.
• The transportation, handling, or delivery of goods.
• Customer’s failure to provide accurate information or comply with the terms of this Agreement.
 

8. Termination
Either party may terminate this Agreement upon written notice if the other party materially breaches any term of this Agreement and fails to remedy the breach within [insert number of days] days after receiving notice of the breach.
 

9. Force Majeure
Neither party will be held liable for failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, fire, flood, war, terrorism, labor strikes, or governmental regulations.
 

10. Governing Law and Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any disputes under this Agreement will be subject to the exclusive jurisdiction of the courts located in [County], Union City New Jersey.

11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. This obligation will survive the termination of this Agreement.
 

12. Changes to Terms
The Service Provider reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the customer via email or other appropriate means. Continued use of the services after the effective date of the change constitutes acceptance of the modified terms.
 

13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or communications, whether written or oral, related to the subject matter of this Agreement.
